The Terms apply to all visitors, users and any other individuals who access or use our service. By engaging with the service in any manner (including, but not limited to browsing, creating an account), you agree to be bound by these Terms without modification.
Description of Services Offered
The purpose of Payroo Australia is to provide a fast and efficient payroll system for a variety of businesses. Payroo Australia enables its users to create professional payrolls and payslips using highly advanced functions.
All visitors to our service, whether registered or not, will be considered as "users" of the Services referred to in these Terms. Upon registering for our Services, which involves the creation of an account, a user will be classified as a "member".
Both users and members acknowledge and agree that the Services provided through Payroo Australia are the exclusive property of Payroo Australia. Payroo Australia may choose to introduce additional Services or alter, update, or revise existing content and Services at its discretion. This Agreement will cover any such additional, altered, updated, or revised Services unless specified otherwise. Payroo Australia reserves the right to withdraw any of these Services at any time. You, as a user or member, acknowledge, accept, and agree that Payroo Australia will not be liable for any such changes, updates, modifications, or discontinuation of any of our Services and/or products. Your continued use of the Services signifies your acceptance of such changes and modifications. If you do not agree with the updated, revised, or modified terms, you must cease using the Services immediately.
Additionally, users and/or members understand, acknowledge, and agree that the Services offered will be provided "AS IS", and Payroo Australia will not bear any responsibility or obligation for the timeliness, missed delivery, deletion, or any failure to store user content, communication, or personalisation settings.
Modification of Terms
Payroo Australia retains the right to amend or substitute the Terms and Conditions at its absolute discretion. It is your duty to periodically review the Terms for any modifications. Your sustained use of the Service after any changes to the Terms and Conditions have been posted signifies your agreement to the updated Terms and Conditions.
Intellectual Property Rights

You may not acquire or attempt to acquire any materials or information through means not intentionally made accessible or provided through the services.
All components included as part of the Service, such as software code, user interfaces, graphics, logos, algorithms, and related documentation, along with any compilations thereof, are the property of Payroo Australia or its suppliers, and are protected by copyright and other laws safeguarding intellectual property and proprietary rights. You agree to respect and adhere to all copyright and other proprietary notices, markings, or other restrictions contained in any such components and you will not make any modifications thereto.
You will not alter, disseminate, reverse engineer, engage in the transfer or sale, create derivative works, or exploit any of the content, in whole or in part, found within the services provided. Your use of the services does not grant you the right to make any unauthorised use of any protected content, and in particular, you will not erase or alter any proprietary rights or attribution notices in any content.
You will use protected content solely for your personal use and will make no other use of the content without the express written permission of Payroo Australia and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of Payroo Australia or our licensors except as expressly authorised by these Terms.
Restrictions & Obligations
You are explicitly prohibited from all of the following:
- distributing any Service content in any other platform;
- selling, sub-licensing, and/or commercialising any Service content;
- publicly performing and/or displaying any Service content;
- utilising this Service in any manner that could potentially harm it;
- using this Service in any way that negatively impacts user access;
- using this Service in contravention of applicable laws and regulations, or in any manner that could harm the Service, or any individual or business entity;
- engaging in any data mining, data harvesting, data extraction or similar activity in relation to this Service;
- using this Service to partake in any advertising or marketing.
Certain sections of this Service are restricted from your access, and Payroo Australia may further limit your access to any parts of this Service, at any time, in its absolute discretion. Any user ID and password you may have for this Service are confidential and you must maintain their confidentiality.
You warrant that you will comply with all applicable local, national, and international laws and regulations concerning your use of the Service and not obstruct the use and enjoyment of the Service by other users or its operation and management.
You will consistently provide truthful, accurate, current, authorised, and complete information when submitting data or materials on the Service, including, without limitation, the information required to be provided through Payroo Australia's sign-up form. If any false, inaccurate, untrue, unauthorised or incomplete information is submitted by you, Payroo Australia reserves the right to terminate your access and use of the Service. You warrant that you will not impersonate any other person or entity, real or fictitious, when using the Service, or defame or cause harm to any party through your use of the Service.
Accessing the Service is forbidden from territories where the Service or any Content is illegal; you are responsible for compliance with local laws.

You recognise that Payroo Australia, through the use of Payroo Australia's services, does not act as an agent and does not assume responsibility for the preparation of any taxation, superannuation or other related documents on behalf of your business/entity. Payroo Australia can, however, facilitate submissions (like lodgements and pre-fill) via Standard Business Reporting (SBR) channels.
Payroo Australia strives to ensure all information provided through its services is accurate. If you find any inaccuracies, kindly inform Payroo Australia by sending an email to support@payroo.com.au, and corrections will be made as soon as possible, where agreed upon.
Payroo Australia offers no guarantees regarding the content provided through its services. Given that these services are continuously being updated and enhanced, the contents may be incorrect or outdated and are subject to change without notice. Although every effort is made to ensure the accuracy of the content, Payroo Australia cannot guarantee the correctness of all content at any given point in time.

This applies to any torts (including negligence), contracts, or any other instances, to the fullest extent permitted by law.

Registration

Those seeking to join Payroo Australia must furnish genuine, accurate, up-to-date, and comprehensive information as prompted by our membership application forms. You consent to promptly update your details in the event of any changes, ensuring that the information maintained on your profile remains authentic, precise, current, and comprehensive. If you supply details that contravene these conditions, we retain the right to refuse or terminate your access to our Services or specific sections thereof. We bear no responsibility for any failure to deliver Services arising from information that is not truthful, precise, current, and complete. Moreover, by registering, you affirm that you have no convictions or court orders pertaining to assault, violence, or sexual misconduct on your record.

Member Account, Username, Password And Security
Upon establishing an account, you are deemed as the only authorized user of your account. It's your obligation to ensure the security and confidentiality of your password and oversee all activities that occur within your account. You are accountable for actions or inactions of any user(s) accessing your account information that would constitute a violation of the Terms and Conditions if performed by you. It is your duty to promptly alert Payroo Australia of any unauthorised access to or usage of your account or password, or any other security breach. If you ever discover or suspect unauthorized access to your account, we strongly advise you to report this to us without delay. Payroo Australia will not bear responsibility for any losses or damages resulting from failure to adhere to this usage term.
Your login credentials consist of your contact email address/username and the password you selected. You have the flexibility to use various devices such as your phone, tablet, etc., for logging in.
Use of Communication Services

Payroo Australia is not obligated to monitor the Support Chat Service. However, Payroo Australia reserves the right to review materials posted to the Support Chat Service and to remove any materials at its sole discretion. Payroo Australia reserves the right to terminate your access to the Support Chat Service at any time without notice for any reason whatsoever.
Payroo Australia reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, at Payroo Australia’s sole discretion.
Exercise caution when sharing any personally identifiable information about yourself in the Support Chat Service. Payroo Australia does not control or endorse the content, messages or information found in the Support Chat Service and, therefore, Payroo Australia specifically disclaims any liability with regard to the Support Chat Service and any actions resulting from your participation in the Support Chat Service. The views expressed by our support staff do not necessarily reflect those of Payroo Australia.
Please note that while currently our primary communication service is the Support Chat Service, Payroo Australia reserves the right to expand or modify the available communication tools in the future, to provide a better user experience.
SuperStream Service
Beam is issued by Precision Administration Services Pty Ltd, ABN 47 098 977 667, AFSL No. 246 604 (Precision), which is wholly owned by Sunsuper Pty Ltd, ABN 88 010 720 840, AFSL No. 228 975 as trustee of Sunsuper Superannuation Fund, ABN 98 503 137 921 (Sunsuper).
Payroo Australia Pty Ltd, ABN: 516 3288 0114 (Payroo Australia) has an arrangement with Precision for Beam to be accessible to Payroo Australia’s clients through Payroo Australia’s payroll interface. Payroo Australia does not provide financial product advice and does not recommend any particular clearing house provider.
Termination
As a member of the Payroo Australia website, you may cancel or terminate your account, associated email address, and/or access to our Services by submitting a cancellation or termination request to support@payroo.com.au at least 3 days prior to the desired termination date or directly through the website.
As a member, you acknowledge that Payroo Australia may, without prior written notice, immediately suspend, terminate, discontinue, and/or limit your account, any email associated with your account, and access to any of our Services. The reasons for such termination, discontinuance, suspension, and/or limitation of access may include, but are not limited to:
- Any breach or violation of our Terms and Conditions or any other incorporated agreement, regulation, and/or guideline;
- A request from law enforcement or any other governmental agencies;
- Unforeseen technical or security issues and/or problems;
- Extended periods of inactivity on your part;
- Your involvement in any fraudulent or illegal activities;
- Nonpayment of any associated fees that may be owed by you in connection with your Payroo Australia account Services.
You hereby agree that any and all terminations, suspensions, discontinuances, and/or limitations of access shall be made at our sole discretion and that we shall not be liable to you or any other third party for the termination of your account, associated email address, and/or access to any of our Services. In addition, you accept that Payroo Australia may cease operations with a prior written notice of 10 days.
The termination of your account with Payroo Australia may include any and/or all of the following:
- The removal of any access to all or part of the Services offered within Payroo Australia;
- The deletion of your password;
- The deletion of any and all related information, files, and any such content that may be associated with or within your account, or any part thereof, after the financial year;
- The prohibition of any further use of all or part of our Services.
You acknowledge that no joint venture, partnership, employment, or agency relationship exists between you and Payroo Australia as a result of this agreement or use of the website. Payroo Australia's performance of this agreement is subject to existing laws and legal processes, and nothing contained in this agreement diminishes Payroo Australia's right to comply with governmental, court, and law enforcement requests or requirements relating to your use of the website or information provided to or gathered by Payroo Australia with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of the agreement shall continue in effect.
Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Payroo Australia with respect to the website, superseding all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between the user and Payroo Australia with respect to the website. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express desire of the parties that this agreement and all related documents be written in English.

- You must not engage in any malicious activity that includes:
- Imposing an unreasonable or disproportionately large load on Payroo Australia's infrastructure.
- Interfering with the proper functioning of the Service.
- Bypassing any measures implemented by Payroo Australia to prevent or restrict access to the Service.
- Running spam or automated processes on the Service.
- Using manual or automated means to crawl or spider any page of the website.
- You must not attempt to reverse engineer the Service by:
- Deciphering, decompiling, disassembling, or reverse engineering any part of the Service, except to the extent prohibited by applicable laws.

Through your Payroo Australia Account, you may have the ability to access, link to, and display Content from your Payroo Australia Account and your accounts or profiles on third-party sites. The Service may provide you with the option to define the Content that will be accessed, linked to, and displayed on or through your Payroo Australia Account. You represent, warrant, and agree that in relation to Content that you make available on third-party sites, you will always comply with all relevant third-party terms of service and any other obligations you may have with respect to that third-party site.
Indemnification
You agree to safeguard, justify, and shield Payroo Australia, its executives, board members, employees, agents, and third parties from any damages, expenditures, obligations, and costs (inclusive of sensible attorney's fees) ensuing from or associated with your usage or inability to utilize the website or services, any user contributions made by you, your breach of any terms of this Agreement, or your infringement of any third-party rights, or your non-compliance with any pertinent laws, regulations, or rules. Payroo Australia holds the right, at its own expense, to undertake the exclusive defense and management of any matter otherwise liable to indemnification by you, in which instance you will fully cooperate with Payroo Australia in enforcing any accessible defenses.
Arbitration
Should the parties fail to reconcile any dispute arising from or concerning these Terms and Conditions, or any clauses within, whether relating to contract, tort, or any other legal or equitable grounds for damages or other remedies, such dispute shall be settled solely by final and binding arbitration, or a similar arbitration service chosen by the parties, in a location jointly agreed upon by the parties. The arbitrator's decision shall be conclusive, and a judgment may be issued upon it in any court possessing jurisdiction. Class Action Waiver
Any arbitration under these Terms and Conditions will be conducted on an individual basis; class arbitrations, as well as class/representative/collective actions, are disallowed.
THE PARTIES CONCUR THAT CLAIMS MAY BE BROUGHT AGAINST THE OTHER ONLY IN EACH PARTY'S INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PRESUMED CLASS, COLLECTIVE, AND/OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE SHAPE OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER.
Moreover, unless both you and Payroo Australia mutually consent, the arbitrator may not amalgamate more than one individual's claims, nor preside over any form of a representative or class proceeding.
